Which Costs Should a Seller Consider?
Estate Agency Fee
The agreed fee for valuation, presentation, marketing, viewings, negotiation and transaction coordination, normally plus IVA.
Legal & Tax Advice
Reviewing ownership, debts, contracts, tax calculations, signing arrangements and completion documentation.
Capital Gains Tax
Tax may arise on the taxable gain rather than on the full sale price. The calculation needs evidence of allowable values and costs.
Plusvalía Municipal
A separate municipal tax connected with the increase in value of the urban land component.
Non-Resident Withholding
When the seller is non-resident, the buyer generally withholds 3% of the agreed price and pays it to the Spanish Tax Agency.
Mortgage Cancellation
The outstanding loan, bank costs and formal cancellation of the registered mortgage must be allowed for.

How Is Capital Gains Tax Calculated?
The taxable gain is not simply the sale price minus the original headline purchase price. The calculation generally compares an adjusted transfer value with an adjusted acquisition value.
Documents make the difference
Purchase taxes, notary and registry invoices, qualifying improvements and sale-related costs may affect the calculation where the legal conditions are met. Routine repairs are not automatically treated as improvements.
Never estimate from memory
Ask your adviser to check the purchase deed and original invoices before marketing. Missing evidence can change the tax calculation.

A tax adviser should confirm which costs qualify, the applicable rate, any relief and the effect of previous depreciation or rental activity.
The 3% Withholding Is Not the Final Tax
If the seller is not tax resident in Spain, the buyer is generally required to retain 3% of the total agreed sale price and pay it to the Spanish Tax Agency using Modelo 211.
The retention is a payment on account of the seller’s potential tax liability. The seller then uses Modelo 210 to calculate the actual result.
Refund or additional payment
If the final tax is lower than the amount withheld, the seller may claim the difference, subject to the applicable procedure and checks. If it is higher, the balance remains payable.
What Is Plusvalía Municipal?

Plusvalía municipal is the common name for the municipal tax on the increase in value of urban land. It is separate from national capital gains tax.
The property price is not the only input
The calculation can involve the cadastral land value, ownership period, municipal coefficients and the actual change in value. Current rules provide different calculation approaches in relevant cases.
Check the local procedure
The municipality, deadline and required documents matter. Your lawyer or tax adviser should calculate both possible methods where appropriate and confirm the filing process.
Selling a Property With a Mortgage
Request the Bank Balance
Obtain the exact redemption figure for the expected completion date.
Coordinate at Completion
The outstanding loan is normally settled from the completion funds.
Remove the Registered Charge
Paying off the loan does not by itself erase the mortgage entry from the Land Registry.
Allow for Costs
Bank, notary, registry and administration costs may arise in the cancellation process.
What Could Be Deducted at Completion?

Original Purchase File
Purchase deed, taxes, notary, registry, legal and agency invoices.
Improvement Invoices
Invoices, licences and payment evidence for qualifying capital improvements.
IBI and Cadastral Details
Latest IBI receipt, cadastral reference and confirmation of local-tax status.
Community Certificate
Evidence that community fees are paid and details of approved assessments.
Energy Certificate
A valid energy-performance certificate where legally required.
Mortgage Information
Current balance, cancellation instructions and details of registered charges.
Residence and Rental History
Tax-residence evidence and previous returns, especially where the property was rented.
Selling Costs Explained
Does the seller normally pay the estate agency fee?
The listing agreement determines who pays, how much and when the fee becomes due. Check whether IVA is included or added separately.
Is capital gains tax charged on the full sale price?
No. The final tax is generally based on the taxable gain after permitted adjustments, although the 3% non-resident withholding is calculated on the full agreed price.
Is the 3% withheld amount lost?
Not necessarily. It is a payment on account. The seller reconciles it against the actual tax calculation and may claim a refund when the permitted amount exceeds the final liability.
Do I pay plusvalía if I sold at a loss?
Current rules can take the absence of an increase in land value into account, but evidence and a local filing may still be required. Ask the adviser handling the sale to verify the position.
Can I sell when a mortgage is still registered?
Yes, but the loan repayment and formal Land Registry cancellation must be coordinated and included in the completion budget.
Can a resident seller qualify for an exemption?
Some reliefs may apply in specific circumstances, including certain habitual-home cases. They are subject to detailed conditions and should be reviewed before completion.
